John began his professional career in 1980 with the Nashville law firm of Bass, Berry & Sims, practicing in the firm’s Corporate and Securities Practice Area where, in addition to handling general corporate and business matters, he specialized in private and public securities offerings as well as mergers and acquisitions involving both publicly-traded and privately-held companies. After becoming a partner in 1986, he founded the firm’s transactional intellectual property / entertainment law practice. In 1994 he left the firm to become the personal manager to country music artist Wynonna Judd, a position he held for over three years. Prior to returning to private practice in 2009, John served as General Counsel at three companies, 

  • At PrincipalCare Incorporated, a Nashville venture-backed physician practice management company, he was Executive Vice President and General Counsel. In addition to handling all legal matters for the company, he managed the business development team that negotiated the acquisition of targeted physician practice groups.
  • At IMI Resort Holdings, Inc., a privately-held business specializing in the sales and marketing of luxury residential resort real estate throughout the United States and North America, he was Senior Vice President and General Counsel, and later Executive Vice President of Business and Legal Affairs, and was a member of the executive committee. IMI’s operating subsidiaries included a sales company, a brokerage company, a marketing company/creative agency, a mortgage brokerage company and a development company.
  • At Mercantile Bankshares Corporation, a $16 billion publicly-held regional bank holding company headquartered in Baltimore, Maryland and operating throughout the mid-Atlantic region, John served as Executive Vice President, General Counsel and Secretary to both the holding company and its lead bank, Mercantile-Safe Deposit and Trust Company. John also headed the firm’s compliance department, which he completely restructured in response to the enactment of the Sarbanes-Oxley Act in 2002, and managed the operation of the company’s Board of Directors and its compensation and corporate governance committees. In addition to managing the in-house legal department and all outside counsel relationships, while at Mercantile John advised on the restructuring of the bank’s investment and wealth management division, conducted or oversaw all internal investigations, supervised all major litigation, handled numerous acquisitions and was instrumental in facilitating the sale of the company in 2007 in a transaction valued in excess of $6 billion.

At each of the foregoing companies John reported directly to and worked closely with the CEO on a daily basis and also served as a member of the senior executive management committee, participating in a broad range of strategic and operational business decisions in addition to his legal responsibilities.
